MINT Report Terms & Conditions

Thank you for expressing an interest in receiving NAIC’s Managers in the Market Report (the “MINT Report”). 

You must accept the following Terms and Conditions in order to be granted access to the PDF of the MINT Report provided by National Association of Investment Companies (“NAIC”).  Please read the information and complete the form on the right to accept the Terms and Conditions.

You acknowledge and understand that the information made available to you through the MINT Report and any other posted materials (collectively, the “Materials”), is a compilation of the information provided to NAIC by the Sponsors (defined below), and NAIC has not independently verified the completeness and accuracy of such information and disclaims any and all liability in connection therewith.

By accepting the Terms and Conditions, you hereby confirm that you are (i) an “accredited investor” as such term is defined in Rule 501 of Regulation D promulgated under the United States Securities Act of 1933, as amended, (ii) have a pre-existing relationship with NAIC, and this communication and the receipt by you of the Materials (defined below), including the Report, is not a result of any form of general solicitation or general advertising, and (iii) accessing the Materials in compliance with (x) all applicable United States federal, state and local securities laws, and (y) any applicable securities laws of any non-United States jurisdiction applicable to you. 

You acknowledge and agree that the Materials made available to you in the MINT Report are provided to you on a strictly confidential basis for informational purposes only and do not constitute an offer to sell or a solicitation of an offer to purchase interests in the entities and investment vehicles (collectively, the “Funds”) described in the Materials. Unless otherwise indicated, any Materials contained in the MINT Report   are current only as of the date indicated therein and are solely for informational purposes.  The posting of the Materials does not imply that the information contained therein is correct as of any time subsequent to the date of such Materials.

None of NAIC, Sponsors or their respective affiliates make any representation or warranty, express or implied, as to the accuracy or completeness of the Materials, and nothing herein shall be relied upon as a promise or representation that the Materials constitute all, or substantially all, of the information that may be desirable or required in order to properly evaluate a potential investment in the Funds or otherwise.  You should request from the Funds’ Sponsors any additional documentation or materials that you wish to review.

As used throughout the Materials, and unless otherwise indicated, gross and net returns, whether stated as an internal rate of return or a multiple of invested capital are based on the information provided by the Sponsors and NAIC does not independently verify such information, calculations or assumptions with respect to such calculations.  Accordingly, the actual realized returns may differ materially from the returns indicated in the Materials.

The Materials contain confidential, proprietary, trade secret and other commercially sensitive information, and you agree to keep the Materials strictly confidential and that you will not disclose or disseminate the Materials to any person or entity that is not a recipient of this communication, except as required by law or legal process.  The Materials are being provided to you subject to the terms of this confidentiality agreement. You will not attempt to share the MINT Report with anyone else. Any reproduction or distribution of the Materials, in whole or in part, or the disclosure of their contents, without the prior written consent of NAIC is prohibited.  You agree that the Materials will not be used in any way, directly or indirectly, that is in competition with or detrimental to NAIC or any related person.  You agree not to trade in securities on the basis of any information in the Materials.  You agree to promptly return to NAIC or destroy any materials that you have downloaded upon request by NAIC.

Neither the United States Securities and Exchange Commission nor any state or non-United States securities commission has reviewed or passed upon the accuracy or adequacy of the Materials or the merits of the information described therein.  Any representation to the contrary is unlawful.

You should not construe the contents of the Materials as legal, business, tax, accounting, investment, financial or other advice.  You should consult your own advisors as to legal, business, tax, accounting, financial or other relevant matters concerning the Materials.

Your access to the MINT Report is subject to revocation by NAIC at any time.
